Terms of Use

1. Acceptance of Terms

By accessing or using BidSmarter ("the Service"), you agree to be bound by these Terms of Use in their entirety. If you do not agree, you must not use the Service. Use of the Service constitutes your full and unconditional acceptance of these terms.

2. Not Financial Advice

BidSmarter provides automated recon cost estimates, risk analyses, OBD diagnostic interpretations, and bid recommendations for informational and decision support purposes only. Nothing on this platform constitutes financial advice, investment advice, a recommendation to buy or sell any vehicle, a guarantee of repair costs or profit, or a professional vehicle appraisal or inspection. All estimates are generated using algorithmic models based on historical data and market averages. You are solely responsible for any financial decisions you make.

3. Limitation of Liability

To the maximum extent permitted by applicable law, BidSmarter and its operators shall not be liable for any financial loss, lost profit, or consequential damages arising from reliance on any estimate or analysis provided by the Service, errors or inaccuracies in any content, interruption or termination of the Service, or any vehicle purchase decision made using this platform. Your use of the Service is entirely at your own risk.

4. No Warranty

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. BidSmarter does not warrant that the Service will be uninterrupted, error-free, or that estimates will be accurate for your specific situation.

5. Prohibited Use — Bots, Scraping & Automation

You agree that you will NOT use the Service to:

• Access the Service using automated scripts, bots, crawlers, scrapers, or any non-human means
• Scrape, harvest, extract, or collect any data, content, or estimates from the platform without express written permission
• Reverse engineer, decompile, or attempt to extract underlying algorithms, models, or source code
• Create derivative works, competing products, or services based on BidSmarter's methodology or output
• Use the Service to train, fine-tune, or provide data to any artificial intelligence or machine learning model
• Attempt to circumvent rate limits, access controls, or authentication mechanisms

Violations may result in immediate account termination, IP blocking, and legal action for damages.

6. Intellectual Property

All content, algorithms, design, code, data structures, scoring models, and methodologies on the BidSmarter platform are the exclusive intellectual property of BidSmarter and its operators. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without express written permission.

7. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information, not share your account with others, and notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms.

8. Plans, Billing & Refunds

Plans. BidSmarter offers pay-as-you-go appraisal credit packs (Starter), a monthly or annual Pro subscription with a monthly appraisal allowance, and a monthly or annual Elite subscription for dealerships. Current prices, allowances, and included features are listed on the pricing page and form part of these Terms.

Payments. Payments are processed by Stripe. Stripe acts as the merchant of record for your purchase, handles applicable sales taxes, and may appear on your card statement and receipts. We never see or store your card details.

Credit packs. Credits never expire. A credit is consumed when an appraisal result is successfully generated; failed or incomplete submissions are not charged. Unused packs may be refunded within 14 days of purchase on request. Once any credit from a pack has been used, the pack is non-refundable.

Subscriptions. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your billing page; access continues until the end of the period already paid for, and no prorated refund is issued for the remainder of that period. Annual plans are billed up front and are non-refundable after 14 days.

Pro allowance and overage. Pro includes a set number of appraisals per calendar month. Appraisals beyond that allowance are billed at the per-appraisal overage rate shown on the pricing page and appear on your next invoice. You will be shown the overage rate and asked to confirm before the first overage appraisal in any month. Overage charges are non-refundable.

Price changes. We may change prices with at least 30 days' notice by email. Changes take effect at your next renewal; you may cancel before then.

Failed payments. If a renewal payment fails, we will retry it and notify you. If it cannot be collected, your account returns to the Starter tier.

9. Data & Privacy

Your data. Appraisal data and account information is stored securely on Canadian servers. We do not sell your personal data to third parties. Your individual appraisals, purchase prices, recon costs, sale prices, and margins are private to you and are never shown to other users. You may request deletion of your account and data by contacting us.

How we use appraisal and deal data. The accuracy of BidSmarter's estimates depends on real outcomes. When you record what you paid, what recon actually cost, what a vehicle sold for, or what it hammered at, we use that information — in aggregated and anonymized form, combined with data from other users — to calibrate repair cost estimates, regional labour rates, and bid recommendations. Aggregated data cannot be traced back to you, your dealership, or a specific transaction. By using the Service you consent to this use. Providing deal outcomes is voluntary; you may dismiss any prompt to do so.

Third-party services. Some features send vehicle descriptions, condition reports, or photos to third-party AI providers to extract information. These providers process the content to return a result and are contractually restricted from using it to train their models. We do not send your name, email, or pricing data to these providers.

10. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
